This engagement begins and continues on a month-to-month basis with a minimum commitment of three (3) months. Either party may terminate with thirty (30) days written notice after the initial term.

Monthly retainer: $/month

Payment due within fifteen (15) days of invoice date, billed at the start of each month.

• Direct access to Joe Nalley. No associates or junior team.
• Available for scheduled calls, asynchronous communication, and deliverable review throughout the engagement.
• All work product and deliverables become the property of upon payment.

Both parties agree to maintain the confidentiality of proprietary information shared during this engagement. A separate mutual NDA is available upon request.

Joe Nalley operates as an independent contractor, not an employee. This engagement does not create an employment relationship, partnership, or joint venture.

This letter agreement shall be governed by the laws of the Commonwealth of Kentucky.
